DISTANCE SALES AGREEMENT

This Distance Sales Agreement ("Agreement") is concluded electronically between Enes Efe Sole Proprietorship (hereinafter referred to as the "Seller") and the user purchasing its services (hereinafter referred to as the "Buyer") under the following terms.

1. SUBJECT AND SCOPE OF THE AGREEMENT
This Agreement governs the rights and obligations of the Buyer and the Seller regarding the electronic purchase of digital services and subscription plans offered by the Seller. It has been prepared in accordance with the provisions of Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation.

2. DESCRIPTION OF SERVICES AND FEES
2.1 Description of Services
The Seller provides the Buyer with a SaaS platform that offers competitive analysis and sales tracking. The services include subscription-based access, user management, and analytical tools.
2.2 Fees and Payment Terms
• The service fee is determined by the selected subscription plan, and payments are processed via credit card or other digital payment methods through the platform.
• All prices include VAT, and the Buyer’s approval is obtained during the payment process.

3. DELIVERY AND COMMENCEMENT OF SERVICES
• The service becomes available to the Buyer immediately after account registration and completion of the payment process.
• As the service is delivered digitally, no physical delivery is applicable.

4. RIGHT OF WITHDRAWAL
4.1 Exercising the Right of Withdrawal
• The Buyer may exercise their right of withdrawal within 14 days of the agreement date, provided the service has not been accessed.
• Withdrawal requests must be submitted in writing to solutily@gmail.com.
4.2 Exceptions to the Right of Withdrawal
• Digital services that have been accessed cannot be withdrawn.
• Downloadable content, custom developments, and personalized services are excluded from the right of withdrawal.

5. RESPONSIBILITIES AND OBLIGATIONS
5.1 Seller’s Responsibilities
• The Seller is obliged to provide the service as specified in the agreement.
• In the event of service interruptions due to technical issues, the Seller commits to extending the subscription period as compensation.
5.2 Buyer’s Obligations
• The Buyer agrees to use the service solely for personal and non-commercial purposes.
• The Buyer is responsible for keeping their login credentials confidential.

6. TERMINATION AND CANCELLATION OF SERVICES
• The Buyer may cancel their subscription at any time; the cancellation will take effect at the end of the current billing cycle.
• The Seller reserves the right to terminate the service if the Buyer violates the terms of use.

7. INTELLECTUAL PROPERTY RIGHTS
All software, content, and designs provided by the Seller are the property of Solutily and are protected under Intellectual and Industrial Property Rights. The Buyer has no right to copy, distribute, or use this content for commercial purposes.

8. DISPUTE RESOLUTION
Disputes arising from this Agreement will first be resolved through negotiation between the parties. If a resolution cannot be reached, disputes will be governed by the laws of the Republic of Turkey, and the courts and enforcement offices of Denizli will have jurisdiction.

9. GENERAL PROVISIONS
9.1 Amendments
The Seller reserves the right to amend the terms of this Agreement. Any changes will be communicated to the Buyer and will apply only to future transactions.
9.2 Validity of the Agreement
This Agreement comes into effect upon the Buyer’s registration on the platform and purchase of the service.
